These Terms of Service ("Terms") constitute an agreement between Proficient ("Proficient," "we," "our," or "us") and the client ("Client," "you," or "your") regarding the services provided by Proficient. By engaging Proficient's services, you agree to abide by these Terms.
Proficient offers support for a period of 15 natural days after the project's completion and notification to the Client. Any support beyond this period may be subject to additional charges.
Only the elements explicitly mentioned in the project proposal are included. Any changes or additions to the project scope that are not specified in the proposal will incur extra costs and will require separate agreement.
The project duration estimates provided in the proposal are approximations. Proficient may require more time to complete the project, and any delays will be communicated to the Client.
The Client is responsible for any costs associated with tools required for development and maintaining the project, including but not limited to servers, hosting, databases, licenses, libraries, and software used in conjunction.
The Client agrees to provide timely feedback, necessary information, and approvals during the project. Delays caused by the Client may result in adjustments to project timelines or additional charges.
The Client must deliver all necessary assets, credentials, and access required for the development process promptly and in a secure manner.
Payments must be made according to the agreed-upon schedule. Failure to make timely payments will result in a daily interest charge of 2% on the outstanding balance. Scheduled payments may be requested if delays (2.1) surpass 3 business days after delivery of a milestone.
The Client agrees not to contact, hire, or engage in any professional relationship with any of Proficient's developers or team members for a period of 5 years after the completion of the project.
The Client is responsible for thoroughly testing the project upon delivery by Proficient to ensure that all aspects meet the agreed-upon requirements.
Proficient is committed to completing and delivering the project as outlined in the proposal, adhering to high professional and quality standards.
Proficient will promptly notify the Client of any complications, changes in project scope, or delays that may impact the agreed-upon timeline or cost. Requoting may be necessary under such circumstances.
Proficient does not retain possession or penalize for project delivery. Upon receipt of the final payment, the completed product will be transferred to the Client in its entirety.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Proficient is located. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
By engaging Proficient's services, you acknowledge that you have read, understood, and agreed to these Terms of Service. These Terms may be updated or amended by Proficient at its discretion, and such changes will be communicated to the Client in writing.
